Working Transitions Business Terms
Working Transitions (WT) submits all proposals, tenders, quotations & price lists & accepts all orders subject to the following conditions of contract which apply to all contracts for services supplied or work done by them or their employees & consultants to the exclusion of all other representations, conditions or warranties, express or implied. Each order received by WT will be deemed to form a separate contract to which these conditions apply & any waiver or any act of non-enforcement or variation of these terms or part thereof shall not bind or prejudice WT in relation to any other contract.
The description of the services will be set out in the WT proposals, tenders, quotations or price lists provided to the buyer. Valid orders for services from the buyer may be in the form of fax, email, letter or verbally by telephone or at meetings with the buyer.
All prices shown on the WT proposals, tenders, quotations or price lists are based upon the acceptance of these conditions. Group Programmes assume a minimum eight delegates unless otherwise agreed. Any variation of these conditions requested by the buyer may result in changes in the offered pricing or refusal to supply. All quoted pricing is in Pounds Sterling & is exclusive of VAT unless otherwise stated.
No cancellation of an order placed by the Buyer is permitted except where expressly agreed by WT. The Buyer will in the event of agreed cancellation indemnify WT fully against all expenses incurred up to the time of such cancellation unless otherwise agreed in writing.
All delivery times & other specifications offered will be stated in WT proposals, tenders, quotations or price lists.
WT standard terms of payment are 30 days net from date of invoice into the bank account of WT. Where specified, payment may be required in advance of delivery. Any charges incurred in making the payment, either currency conversion or otherwise shall be paid by the buyer. WT reserves the right to charge interest at a rate of 2% above the base rate of National Westminster Bank PLC on any overdue accounts.
The buyer agrees to preserve the Intellectual Property Rights (IPR) of WT at all times, & that no contract for supply of goods involves loss of IPR by WT unless expressly offered as part of the contract by WT.
This agreement & performance of both parties shall be governed by English law. Any disputes under any contract entered into by WT shall be settled in a court of WT choice operating under English law, & the buyer agrees to attend any such proceedings. No action can be brought arising out of any contract more than 12 months after the completion of the contract.
If any part of these terms & conditions is found to be illegal, void or unenforceable for any reason, then such clause or section shall be severable from the remaining clauses & sections of these terms & conditions which shall remain in force been used with them.
WT shall not be liable for any failure to deliver the services arising from circumstances outside the control of WT. Non-exhaustive illustrations of such circumstances would be act of God, war, riot, explosion, abnormal weather conditions, fire, flood, strikes, lockouts, Government action or regulations (UK or otherwise), delay by suppliers, accidents & shortage of materials, labour or manufacturing facilities. Should WT be prevented from delivering in the above circumstances, it shall give the Buyer written notice of this fact as soon as reasonably practicable. If the circumstances preventing delivery are still continuing three months after the Buyer receives WT notice, then either party may give written notice to the other cancelling the contract. If the contract is cancelled in this way, WT will refund any payment which the Buyer has already made on account of the price (subject to deduction of any amount WT is entitled from the Buyer) but WT will not be liable to compensate the Buyer for any further loss or damage caused by failure to deliver.
Any notice to be given hereunder shall be in writing & shall be deemed to have been duly given if sent or delivered to the party concerned at its address specified overleaf or such address as the party may from time to time notify in writing & shall be deemed to have been served, if sent by post, 48 hours after posting.
The rights & remedies of WT under the contract shall not be diminished, waived or extinguished by the granting of any indulgence, forbearance or extension of time by WT in asserting or exercising any such rights or remedies.
